We design and build the website, web application, or software described in your quote, to the agreed scope. Specific features and deliverables are confirmed in writing before work begins. Work outside the agreed scope may be quoted and billed separately.

Projects fall into one of the following tiers. Prices are in US Dollars and are indicative ranges; the final fixed price for your project is confirmed in your written quote.

Prices may also be quoted in East Caribbean Dollars at the prevailing peg of EC$2.70 = US$1.00.

After launch your system runs on a monthly care plan, billed in advance. An active plan is what keeps the hosted software online — see Ownership & licensing below. Plans are month-to-month unless your proposal states a minimum term.

A “revision round” is one consolidated set of change requests. Unused rounds and sprint hours don't roll over.

Projects (50/50): 50% deposit before work begins, and the remaining 50% on launch or by the 30th day after the deposit, whichever comes first. Full admin access is granted on final payment.

Payment method: all payments are by bank transfer to our Antigua Commercial Bank (ACB) account — details are on each invoice.

Care plans are billed monthly in advance; you receive the amount due and transfer details around the 1st of each month.

Currency:fees are set in USD; you may pay the XCD equivalent at EC$2.70 = US$1.00. Any bank or transfer fees are the sender's responsibility.

Late payment:if a care-plan payment is more than 7 days late, services may be paused until paid. If a project's final payment is overdue, we may withhold launch or handover until the balance is settled.

Revisions during a build are limited to the agreed scope; revisions under a care plan are limited to the rounds for your plan. Additional revisions may be quoted and billed separately.

Post-launch fixes: for 30 days after launch we fix, at no charge, any defect that stops delivered functionality from working as agreed. New features and changes of scope are quoted separately.

We provide an estimated timeline in your quote. Timelines depend on you providing content, feedback, and approvals promptly. There is a 30-day handover window from the deposit to go fully live; Client delays may extend it and any related dates.

You agree to provide accurate information and content; review and respond to requests for feedback and approval in a timely manner; ensure you own or are licensed to use any materials you supply; and keep any account credentials we provide confidential.

You own your brand, domain, content, and customer data.

We own the software, source code, and any proprietary systems, security logic, reusable components, and infrastructure we build or maintain. While on an active plan, you have a non-exclusive licence to use the hosted software for your business.

On cancellation you may export your content, customer data, and business assets; access to the hosted software ends unless you continue hosting or buy out the source code. Indicative buyouts: Starter Site $1,850–$3,000, Custom Portal $9,000–$28,000, Complex Systems $33,000–$93,000+.

Projects: you may cancel any time. The deposit is non-refundable once work has begun (it reserves your slot and covers discovery + design); work completed beyond it may be invoiced.

Care plans are month-to-month and cancellable any time, effective at the end of the current paid month — unless your proposal states a minimum term, in which case you may cancel with effect from the end of that term. Paid fees are non-refundable. We may suspend or terminate services for non-payment or breach.

We perform services with reasonable skill and care. Except as expressly stated, deliverables are provided “as is” after acceptance. To the maximum extent permitted by law, we are not liable for indirect or consequential losses, and our total liability will not exceed the fees paid for the work in question. We are not responsible for outages caused by third-party services (hosting, payment, or integration providers).

Each party will keep the other's non-public information confidential and use it only to perform this Agreement.

Nuvanta Labs provides services as an independent contractor. Nothing here creates a partnership, employment, or agency relationship.

This Agreement is governed by the laws of Antigua and Barbuda, and the parties submit to its courts.

You accept this Agreement by confirming in writing — for example, replying “I agree” to these terms and/or by paying the initial 50% deposit. Either is sufficient; doing both is clearest. No handwritten signature is required, though you're welcome to sign and return a copy if you prefer. The project details we confirm with you (scope, price, dates) form part of this Agreement.
